Client Service Agreement

This Client Service Agreement ("Agreement") is between Cloud84, operating as Tender84 ("Service Provider", "we", "us") and the individual or entity engaging our paid services ("Client", "you"). By requesting or paying for any service listed below, you agree to the terms of this Agreement.

        Important: Tender84's paid services are provided in good faith to assist with government tender processes. We do not guarantee winning any tender. All bids are subject to the rules and discretion of the respective government procuring authority.
    

1. Services Covered

This Agreement applies to the following paid services offered by Tender84:

Complete Bid Filing	End-to-end bid preparation and filing on NIC GePNIC, GeM, or state eProcurement portals — including eligibility check, technical bid, and financial bid upload	₹2,000 onwards
Document Delivery (PDF)	Retrieval and conversion of NIT/BOQ/Corrigendum documents from official portal and delivery via WhatsApp or email	₹50–70 per request
Class 3 DSC Registration	Class 3 Individual Signing Digital Signature Certificate (valid 2 years), required for all Indian eTendering portals — facilitated via Cloud84.in	₹1,350
Custom / Advisory	Tender strategy, compliance review, or other procurement advisory as agreed in writing before engagement	As quoted

2. Engaging Our Services

Services are engaged by:

Contacting us via the Contact page, WhatsApp (+91 83510 91922), or our Telegram channel
Confirming the specific service, tender reference, and agreed fee in writing (WhatsApp/email message counts as written confirmation)
Making advance payment via UPI, bank transfer, or other accepted method as communicated

Work begins only after payment is received unless otherwise agreed in writing.

3. Client Obligations

To enable us to perform services, you agree to:

Provide accurate and complete information including company name, registration details, PAN/GST, and relevant credentials
Provide login credentials for the relevant eProcurement portal when required for bid filing (credentials are used solely for the requested task and never stored)
Respond to our requests for information promptly — delays caused by the Client may result in missed deadlines for which we are not liable
Ensure that all documents and information provided to us are genuine, accurate, and legally valid

4. No Guarantee of Outcome

Tender84 and its operators make no warranty, express or implied, that:

Your bid will be accepted, shortlisted, or awarded
Your eligibility assessment will result in a successful qualification
Documents delivered will be accepted by the procuring authority

Government tender awards are made solely at the discretion of the procuring authority. Our services assist with preparation and filing only.

5. Payment and Refund Policy

Advance payment required for all services except as otherwise agreed
Document delivery (PDF): Non-refundable once documents are delivered
Eligibility Assessment: Non-refundable once the assessment report is delivered
Bid Filing: If we are unable to file the bid due to our own error before the deadline, a full refund is issued. No refund if the tender is cancelled by the government, if the Client provided incorrect information, or if the bid is rejected for eligibility reasons
DSC Registration: Refund only if DSC issuance fails due to a processing error by the Certifying Authority — subject to CA's own refund policy
Refund requests must be raised within 7 days of service completion via email to [email protected]

6. Confidentiality

All information shared with us (company details, portal credentials, documents) is treated as strictly confidential. We will not share your information with any third party except:

As required to perform the service (e.g., submission on the government portal on your behalf)
As required by law or a court order

Portal credentials shared for bid filing are used only for the specified transaction and are not retained after the task is complete.

7. Intellectual Property

All tools, templates, and processes used by Tender84 in service delivery remain the property of Tender84 / Cloud84. Documents and data you provide remain your property. Bid documents submitted on your behalf are your property once filed.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Tender84's total liability for any claim arising from a service engagement shall not exceed the fee paid for that specific service. We are not liable for:

Missed tender deadlines caused by government portal downtime, Client delays, or force majeure
Tender disqualification due to inaccurate information provided by the Client
Loss of business opportunity arising from an unsuccessful bid
Any consequential, indirect, or punitive damages

9. Amendment of This Agreement

We may update this Agreement from time to time. The version and effective date are shown at the top of this page. Continued use of our paid services after an update constitutes acceptance of the revised terms. For active service engagements in progress, the version in effect at the time of payment governs.

10. Governing Law and Disputes

This Agreement is governed by the laws of India. Any disputes shall first be attempted to be resolved amicably via written communication. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Himachal Pradesh, India.
